An executive vice-president, general counsel, and chief administrative officer is a board-level member of a company's most upper echelon of management. This person is responsible for the day-to-day operations of the organization and is the most hands-on of all board members. He or she likely is second in the company only to the CEO and reports directly to that person. This executive oversees the hiring and promotion decisions for upper management and ensures that the organization's operations are carried out in an efficient manner consistent with the ideals established for that company.
