Job Description for Senior Corporate Counsel
A senior corporate counsel position is part of an organization’s executive legal team. Responsibilities include negotiating and drafting various business contracts and service agreements, such as finance agreements, acquisition agreements, and joint venture agreements. The senior corporate counsel also performs review for all contracts, forms, and legal documents, making recommendations for any changes or additions to these documents. The senior corporate counsel interfaces with many different levels of the corporation, but they most often interact with those in the executive management team. The senior corporate counsel works directly with the business executives, vendors, customers, business partners, and legal counsel to review and negotiate business and commercial contracts, technology and IP agreements, master purchase agreements, manufacturing agreements, and software and hardware license and development agreements. Individuals in this position typically report directly to the executive team, senior vice presidents, or the president of the organization.
This position requires a bachelor’s degree in business or finance management. A juris doctor from an accredited law school is required, as is being licensed to practice law by the relevant state licensing board. Five to 10 years of relevant legal experience working with complex business transactions is required. Senior corporate counsel must have extensive experience in negotiating, drafting, and reviewing complex agreements, and they should be able to analyze complex business and legal issues to provide legal services and advice. Strong communication and interpersonal skills are required, as is the ability to work well with a wide variety of people and maintain excellent business relationships.
